Help & FAQ

Quick answers to the terms you'll meet around BoardOS, and what each part of the app is for.

Terms

What is Quorum?
The minimum number of eligible members who must be present for a meeting's decisions to be valid.
What is Resolution?
A formal motion or decision put to the board. Members vote; passed resolutions are recorded.
What is Written consent?
Approving a resolution in writing outside a meeting. Recorded when your org's threshold (unanimous or majority) is met.
What is Minutes?
The official record of a meeting. Drafted, then approved by the Chair and the Board; the final text is then locked.
What is Acknowledgment?
A per-person, per-version receipt that someone has read a document — Delivered, Opened, Acknowledged, or Refused.
What is Task?
A follow-up action item from a resolution, with an assignee and a due date.
What is Audit log?
A permanent, unchangeable record of every governance action — it cannot be edited or deleted.
What is Roles?
Chair, Member/Director, Counsel/Legal, Observer/Beneficiary, and Org Admin. Roles determine who can do what.
What is Organization?
A governed entity (company, trust, DAO, or association). Fully isolated — you only see orgs you belong to.

Around the app

Members & roles
This is your organization's roster. Invite people and assign each one a role — Chair, Member/Director, Counsel/Legal, Observer/Beneficiary, or Org Admin — which decides what they can see and do.
Meetings
Schedule a meeting here. Each one gets its own agenda, attendance tracking, resolutions, minutes, and board packet.
Run this meeting
Build the agenda, track attendance toward quorum, and raise resolutions for anything that needs a vote.
Board packet
A board packet bundles the documents and agenda items members need for this meeting into one package. Draft it, finalize it to lock the contents, then distribute it — every member is notified.
Documents
Upload board materials here. Mark anything must-read so BoardOS tracks who has received, opened, and acknowledged each version.
This document
See who has acknowledged this document, attach it to meetings, agenda items, or resolutions, and upload a new version if it changes.
What is a resolution?
A resolution is a formal motion put to a vote. Members vote for, against, or abstain; once it clears the approval threshold, it's passed and permanently on the record.
What are minutes?
Minutes are the official record of this meeting. Draft them, then route for Chair approval and Board approval — once approved, the final text is locked and can't be changed.
Audit log
Every governance action here writes a permanent entry. It can't be edited or deleted by anyone — that's what makes this your organization's legally defensible record.
Reported upward
This is the outbox of governance events BoardOS reports up to the wider CASAJAC stack. “Pending relay” just means the next hop hasn't been switched on yet — nothing here is broken or missing.
